- "Manufacturer/Exporter" refers to any company that produces or exports goods and seeks representation

- "Bangladesh Market" refers to the geographical territory of Bangladesh for commercial activities
General Terms of Use
Acceptance of Terms
By using our website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Al-Noor Global Trading.
Eligibility
Our services are available only to individuals and entities that can form legally binding contracts under applicable law. By using our services, you represent and warrant that:
- You are at least 18 years old or the age of majority in your jurisdiction
- You have the legal capacity to enter into binding agreements
- You are authorized to act on behalf of your organization (if applicable)
- All information provided is accurate and complete
Business Purpose
Our services are intended for legitimate business purposes only. You agree not to use our services for any illegal, fraudulent, or unauthorized purposes.
Manufacturer/Exporter Partnership Terms
Exclusive Representation Agreement
IMPORTANT: New Manufacturers and Exporters seeking representation by Al-Noor Global Trading in the Bangladesh market must agree to the following mandatory terms:
Minimum Contract Duration
- Minimum 2-Year Contract: All new Manufacturer/Exporter partnerships require a minimum commitment of 24 (twenty-four) months from the date of agreement execution.
- The 2-year minimum period is non-negotiable and applies to all new business relationships.
- Early termination of the agreement will result in penalties as specified in the partnership contract.
Exclusive Agency Rights
- Sole Representation: During the contract period, Manufacturers/Exporters cannot appoint any other agent, representative, or distributor for the Bangladesh market simultaneously.
- Al-Noor Global Trading will serve as the exclusive sales partner for all products and services within Bangladesh territory.
- Any direct sales or parallel appointments by the Manufacturer/Exporter in Bangladesh during the contract period constitute a breach of agreement.
- This exclusivity applies to all sales channels, including direct sales, online platforms, and third-party distributors within Bangladesh.
Geographic Scope
- The exclusive representation covers the entire geographical territory of Bangladesh.
- This includes all administrative divisions, districts, and commercial zones within Bangladesh.
- Cross-border sales into Bangladesh by the Manufacturer/Exporter through third parties are prohibited during the contract period.
Contract Renewal and Extension
- After the initial 2-year period, contracts may be renewed for additional terms by mutual agreement.
- Renewal terms will be negotiated based on performance, market conditions, and business objectives.
- Either party may choose not to renew the agreement with 90 days written notice before expiration.
Performance Obligations
- Manufacturers/Exporters must provide necessary product information, technical specifications, and marketing materials.
- Competitive pricing and favorable payment terms must be extended to Al-Noor Global Trading.
- Technical support and training must be provided as needed for successful market penetration.
- Regular communication and business reviews will be conducted to ensure mutual success.
Trading Services Terms
Service Description
Al-Noor Global Trading provides the following services:
- International trading and procurement services
- Government and private sector tender participation
- Direct supply of industrial products and raw materials
- Logistics and supply chain management
- Technical consultation and support services
- Market research and business development
Order Processing and Fulfillment
- All orders are subject to availability and confirmation by our team
- Pricing may vary based on market conditions, quantity, and delivery requirements
- Delivery timeframes are estimates and may vary due to circumstances beyond our control
- Risk of loss passes to the buyer upon delivery according to agreed Incoterms
Quality Assurance
- All products are sourced from reputable manufacturers and suppliers
- Quality certificates and documentation will be provided as applicable
- Products must meet specified standards and requirements
- Any quality issues must be reported within specified timeframes
Payment Terms and Conditions
Payment Methods
- Letters of Credit (L/C) - Preferred method for international transactions
- Bank transfers and wire transfers
- Trade finance instruments as agreed
- Other mutually agreed payment methods
Payment Terms
- Payment terms will be specified in individual contracts and purchase orders
- Late payment may result in interest charges and suspension of services
- All bank charges and fees are the responsibility of the respective parties as agreed
- Currency exchange rates will be determined at the time of transaction
Credit Terms
- Credit facilities may be extended to qualified customers subject to credit approval
- Credit limits and terms will be established based on creditworthiness and business history
- Personal or corporate guarantees may be required for credit transactions
Intellectual Property Rights
Company Intellectual Property

- You may not use our intellectual property without written permission
- Any unauthorized use may result in legal action

Customer Responsibilities

- Timely payment according to agreed terms

Both parties agree to maintain the confidentiality of all proprietary and sensitive information, including:
- Pricing information and commercial terms
- Customer lists and contact information
- Technical specifications and product details
- Business strategies and market intelligence
- Financial information and transaction details
Non-Disclosure Obligations
- Confidential information must be used only for authorized business purposes
- Information cannot be disclosed to third parties without written consent
- Reasonable measures must be taken to protect confidential information
- Obligations continue beyond the termination of business relationships
Compliance and Legal Requirements
Regulatory Compliance
- All parties must comply with applicable laws, regulations, and industry standards
- Import/export regulations and customs requirements must be followed
- Environmental, safety, and quality standards must be maintained
- Anti-corruption and anti-bribery laws must be strictly observed
Export Control and Sanctions
- All transactions must comply with international export control laws
- Sanctions and embargo restrictions will be strictly followed
- End-use and end-user certifications may be required
- We reserve the right to refuse transactions that may violate applicable laws
Anti-Money Laundering
- Know Your Customer (KYC) procedures will be implemented
- Source of funds and legitimacy of transactions will be verified
- Suspicious activities will be reported to appropriate authorities
- Documentation and records will be maintained as required
Dispute Resolution
Negotiation
Any disputes arising from these Terms or our business relationship should first be addressed through good faith negotiations between the parties.
Mediation
If direct negotiation fails, disputes may be referred to mediation by a mutually agreed mediator before pursuing other legal remedies.
Arbitration
For disputes that cannot be resolved through negotiation or mediation, binding arbitration may be pursued under the rules of the International Chamber of Commerce or other agreed arbitration body.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any legal proceedings shall be conducted in the competent courts of Dhaka, Bangladesh.
Termination
Termination by Either Party
- Either party may terminate ongoing business relationships with appropriate notice
- Termination notices must be provided in writing
- All outstanding obligations must be fulfilled before termination becomes effective
- Confidentiality obligations survive termination
Termination for Cause
We may immediately terminate services in cases of:
- Breach of these Terms or any agreement
- Non-payment or default on financial obligations
- Illegal or unethical conduct
- Misrepresentation or fraud
- Insolvency or bankruptcy proceedings
Effect of Termination
- All rights and licenses granted will immediately cease
- Outstanding payments become immediately due
- Return of confidential information and materials
- Survival of applicable terms beyond termination
Force Majeure
Neither party shall be liable for any failure or delay in performance due to events beyond their reasonable control, including but not limited to:
- Natural disasters, epidemics, or pandemics
- War, terrorism, or civil unrest
- Government actions, sanctions, or regulatory changes
- Transportation disruptions or port closures
- Supplier failures or raw material shortages
- Cyber attacks or technology failures
The affected party must promptly notify the other party and make reasonable efforts to minimize the impact of such events.

General Provisions
Entire Agreement
These Terms, together with specific contracts and purchase orders, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
Amendments
These Terms may only be modified in writing, signed by authorized representatives of both parties. Web-based modifications will be effective upon posting with appropriate notice.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver
No waiver of any term or condition shall be deemed a waiver of any other term or condition, nor shall any waiver constitute a continuing waiver.
Assignment
These Terms and any rights hereunder may not be assigned without the prior written consent of the other party, except in cases of business transfers or acquisitions.
Notices
All notices must be in writing and delivered to the last known business address or email address of the respective party. Electronic notices are acceptable for routine communications.
Language
These Terms are written in English. In case of translations, the English version shall prevail in case of any discrepancies or disputes.
Survival
Provisions relating to confidentiality, intellectual property, limitation of liability, and dispute resolution shall survive termination of these Terms.
